§ 1 Scope and provider
(1) These Terms and Conditions (AGB) apply to all contracts for online language lessons and related services between WkD, owner Sorour Babaei, Pappelallee 64, 10437 Berlin, and the customer via www.wkd-online.com and www.wkd-online.de.
(2) A consumer is any natural person who enters into a transaction for purposes that are predominantly outside their trade, business or profession. A business is a natural or legal person who, when concluding the contract, is acting in the exercise of their commercial or independent professional activity.
(3) Deviating terms of the customer apply only if WkD expressly agrees to them in text form.
§ 2 Subject of the contract
(1) WkD offers online German lessons at levels A1 to C1, as well as exam preparation.
(2) In particular, the following are offered:
- Private lessons as a monthly package (Paket S and Paket L)
- Group courses with fixed dates
- Exam preparation for telc, Goethe and g.a.s.t./TestDaF
(3) Lessons take place exclusively online.
(4) WkD is obliged to properly deliver the lessons, but not to achieve a particular learning outcome or to guarantee passing an exam.
§ 3 Conclusion of the contract
(1) The presentation of courses on the website does not constitute a legally binding offer.
(2) By clicking the “Order with obligation to pay” button, the customer submits a binding offer to conclude the contract. The contract is concluded once WkD confirms the order in text form.
(3) The text of the contract is stored by WkD and made available to the customer in text form together with the contract documents and/or Terms and Conditions.
(4) The language of the contract is German.
§ 4 Prices and payment
(1) All prices stated are final prices in euros.
(2) Where the conditions of the small business rule under § 19 of the German VAT Act (UStG) are met, no VAT is shown.
(3) Payment is made before the respective tuition begins. For private tuition, the price is payable in advance for each contract month.
(4) The payment methods available are those shown in the respective checkout, in particular card payment (Mastercard, Visa, including debit cards), PayPal and Klarna, to the extent offered there. For card payments, Apple Pay and Google Pay can also be used; these are only offered on devices that support them.
(5) Payment processing is handled by the payment provider Mollie B.V., Keizersgracht 126, 1015 CW Amsterdam, Netherlands. The customer is redirected to a page operated by the payment provider to make payment. Payment data such as card numbers is entered exclusively there and is neither collected nor stored by WkD. Details on data processing can be found in the Privacy Policy.
(6) The invoice is created and sent as soon as payment has been received.
§ 5 Group courses
(1) Group courses take place on the fixed dates specified at the time of booking.
(2) A group course is one continuous course with fixed dates. Upon registration, the customer's place is reserved for the duration of the course.
(3) The minimum number of participants for a group course is 5 people.
(4) If the minimum number of participants is not reached, the course cannot start as planned. In this case, participants already registered will be moved to the next suitable course available. Alternatively, a different solution can be agreed with the customer.
§ 6 Private lessons and monthly packages
(1) Private lessons are scheduled individually between WkD and the customer.
(2) Private tuition is booked as a monthly package. The contract is concluded for an indefinite period. It is divided into consecutive contract months. The first contract month begins when payment is received by WkD and ends at the end of the numerically corresponding day of the following month; if that day does not exist in the following month, it ends at the end of the last day of that month. The further contract months follow on directly and are likewise calculated from the day the payment was received.
(3) Within each contract month, WkD offers the customer appointments for all teaching units included in it. If teaching units cannot take place within a contract month for reasons for which WkD is responsible, the end of that contract month and the following contract months are postponed accordingly.
(4) Package S comprises 12 teaching units, Package L comprises 20 teaching units within the respective contract month. One teaching unit (UE) lasts 45 minutes.
(5) The contract continues until it is cancelled. No new contract is concluded and the contract is not renewed; when one contract month ends, the next one simply begins. The price is payable again for each contract month.
(6) The customer may cancel the contract at any time. The cancellation takes effect at the end of the current contract month if it reaches WkD at least 7 days before the end of that month. If it arrives later, it takes effect at the end of the following contract month. WkD may cancel subject to the same notice period.
(7) Cancellation must be made in text form. The easiest way is the cancellation form at wkd-online.com/kuendigung.php; it can also be declared by email.
(8) Before the end of each contract month, WkD reminds the customer by email of the option to cancel, as a rule 9 days beforehand. This reminder is an additional service.
§ 7 Cancellation and rescheduling of sessions
(1) Private lesson sessions can be cancelled or rescheduled free of charge up to 24 hours before the start at the latest.
(2) In the case of a later cancellation or a no-show, the teaching unit in question is generally considered to have taken place.
(3) Each participant may cancel or reschedule a maximum of 2 sessions within a contract month. This applies equally to Paket S and Paket L.
(4) Rescheduled sessions are made up within 2 weeks of the originally agreed date, and at the latest by the end of the current contract month. If a replacement session does not take place within this period for reasons for which WkD is not responsible, the teaching unit in question is considered to have taken place.
(5) The teaching units included in a monthly package are to be taken within the respective contract month. Unused teaching units are not carried over into the following contract month. Paragraph 4, § 6 paragraph 3, § 8 and § 9 remain unaffected.
(6) For group courses and exam preparation, the dates are fixed. Individual sessions cannot be cancelled or rescheduled there; missed sessions are neither made up nor refunded.
§ 8 Customer's vacation or unavailability
(1) In the case of planned vacation or temporary unavailability, customers can arrange to postpone lessons for a period of up to 2 weeks.
(2) The postponement must be arranged with WkD in good time.
(3) An extension or postponement beyond this period is not automatic and requires an individual agreement.
§ 9 Unavailability of WkD
(1) If WkD is unable to hold an agreed lesson due to vacation, illness or other unavailability, the session in question will be made up.
(2) If a replacement date cannot be arranged immediately, the relevant service period is extended accordingly.
(3) The customer incurs no additional costs as a result of a postponement caused by WkD.
§ 10 Technical requirements
(1) The customer only needs a computer or tablet with an internet connection.
(2) WkD is not responsible for technical problems that arise solely from the customer's technical equipment or internet connection.
§ 11 Start and delivery of lessons
(1) For group courses, the dates specified at the time of booking apply.
(2) For private lessons, the dates are agreed individually.
(3) If a customer fails to attend an agreed individual session without prior cancellation, or arrives more than 15 minutes late, the teaching unit may be considered to have taken place.
§ 12 Course materials
(1) Course materials provided by WkD are protected by copyright.
(2) The materials may only be used for personal learning purposes.
(3) Sharing, publishing, reproducing or commercially using the materials is not permitted without WkD's prior consent.
§ 13 Right of withdrawal
(1) Consumers generally have a statutory right of withdrawal for distance contracts. The details follow from the separate withdrawal policy. The statutory withdrawal period is generally 14 days.
(2) As a rule, tuition begins only after the withdrawal period has expired. At the customer's express request it may begin earlier. The customer can make this request when ordering; it is voluntary.
(3) If the customer withdraws after such an early start, they must pay compensation for the value of the services provided up to the withdrawal (§ 357a (2) of the German Civil Code, BGB). The right of withdrawal expires if WkD has fully performed the service and the customer expressly consented before it began and confirmed their knowledge that they lose their right of withdrawal upon full performance of the contract (§ 356 (4) BGB).
(4) For private tuition, the right of withdrawal relates to the contract as a whole. The start of a new contract month is not a new conclusion of contract and therefore does not trigger a new right of withdrawal.
§ 14 Liability
(1) WkD is liable without limitation for damages resulting from injury to life, body or health, as well as for damages caused by intent or gross negligence.
(2) In the event of slightly negligent breach of material contractual obligations, WkD is liable only for foreseeable damage typical for this type of contract.
(3) Otherwise, liability is excluded to the extent permitted by law.
(4) Liability under mandatory statutory provisions remains unaffected.
§ 15 Term and cancellation
(1) Group courses generally run for the course duration specified at the time of booking.
(2) Private tuition as a monthly package is concluded for an indefinite period. § 6 paragraphs 2, 5, 6 and 7 apply to contract months, cancellation and the notice period.
(3) Statutory rights of cancellation and withdrawal remain unaffected. The right to terminate for good cause remains unaffected for both parties.
(4) A cancellation can be declared at any time using the cancellation form at wkd-online.com/kuendigung.php.
§ 16 Final provisions
(1) The law of the Federal Republic of Germany applies. For consumers, the mandatory protective provisions of their habitual place of residence continue to apply.
(2) Should individual provisions of these Terms and Conditions be or become invalid, the validity of the remaining provisions remains unaffected.
(3) The statutory provisions on consumer dispute resolution remain unaffected.
